Terms of Service

Last updated: 21 October 2026

These terms govern the use of Reclaiva. They contain the exact definition of recovered revenue, the control group, the formula of the increase and the way fees are computed.

1. Parties

These Terms of Service (the "Terms") are a contract between Reclaiva (operator: legal entity and registered address in Switzerland to be confirmed before the first paying customer; "Reclaiva", "we") and the business that opens an account (the "Customer", "you"). By opening an account you confirm that you act for a business, not as a consumer, and that you are authorised to bind it.

The Terms apply to the free audit, to the pilot and to every paid plan. The Privacy Policy and the Data Processing Agreement form part of them.

2. The Service

Reclaiva helps subscription businesses that bill through Stripe recover revenue lost to failed payments, and measures how much it recovers on top of what Stripe recovers alone. The Service consists of:

  • Audit: a read-only review of the last 90 days of your Stripe account, showing failed payments, the historical recovery rate and billing leaks.
  • Recovery: for each failed invoice, a sequence of emails to your end customer pointing to the invoice page hosted by Stripe. For high-value invoices, a draft written with the help of an AI model that you approve before it is sent.
  • Measurement: a control group that lets us compute the increase, as defined in sections 6 and 7.
  • Monthly statement: every invoice, every action and every payment, verifiable in your own Stripe account.
  • Billing: a fixed monthly fee by tier and a commission on the increase, as described in section 9.

A newly connected account is in preview mode: Reclaiva computes what it would send and to whom, but sends nothing until you activate sending. A "Pause everything" control is always available.

Reclaiva does not guarantee any amount of recovered revenue. Figures shown before measurement, for example on the pricing page, are estimates and are labelled as such.

3. Read-only access to Stripe

  • You connect your Stripe account through Stripe Connect (OAuth) with the read_only scope, or with a restricted API key. Keys that do not start with rk_ are rejected.
  • Reclaiva only reads: invoices, customers, subscriptions, prices, coupons and the related events. Reclaiva never creates, modifies or deletes any object in your Stripe account and never collects a payment itself. Your end customers pay on the invoice page hosted by Stripe.
  • You may revoke access at any time from your Stripe Dashboard or by disconnecting in Reclaiva. Disconnecting stops all reading and sending and deletes the data read from your account, as described in the Privacy Policy.
  • Access tokens and keys are encrypted at rest (AES-256-GCM) and are never displayed again after entry.

4. Your obligations

  • You confirm that you have a lawful basis to contact your end customers about their unpaid invoices and that the sender name and reply-to address you configure are yours.
  • You keep your settings accurate. You remain responsible for the content of the emails you approve, including those drafted with the help of an AI model.
  • You use the Service only to recover your own subscription invoices.

5. Definition of recovered revenue

Only the following counts as recovered. This definition applies to the statement, to the increase and to the commission.

An invoice is recovered when all three conditions are met:

  • it failed at least once, meaning a payment attempt on the invoice was declined;
  • it was paid in full within 30 days after its first failure;
  • it was neither refunded nor disputed within 60 days after payment.

The following never count as recovered:

  • invoices paid within 24 hours after the failure and before any action by Reclaiva (Stripe's first retry, not Reclaiva);
  • invoices voided, or marked uncollectible by you or by Stripe;
  • invoices whose subscription was canceled before payment;
  • invoices of the control group (section 6): they are measured to compute the reference rate, Reclaiva takes no action on them and earns no commission on them.

A refund or a dispute within 60 days after the payment of an invoice that was counted as recovered is deducted from the next statement (clawback), in the same currency and for the amount previously counted.

6. The control group

When an invoice fails, Reclaiva assigns it to one of two groups:

  • the Reclaiva group (90 % by default): Reclaiva acts, with emails, the hosted payment link and the high-value queue;
  • the control group (10 % by default): Reclaiva takes no action. Only Stripe's standard retries and reminders apply.

The draw is deterministic: it derives from a cryptographic fingerprint of the Stripe invoice identifier and of your connection. The same invoice always lands in the same group, and the assignment can be recomputed and verified at any time.

You may lower the control group to 5 % in your settings. The change applies to invoices that fail after it. A smaller control group is not offered, because the measurement would no longer be reliable.

7. The increase: formula

The increase is computed per calendar month and per currency. Amounts in different currencies are never added together or converted for the purpose of this formula.

increase = max(0, (reclaiva_rate − reference_rate) × failed_amount_reclaiva_group)

  • reclaiva_rate = amount recovered in the Reclaiva group ÷ amount failed in the Reclaiva group;
  • reference_rate = recovery rate of the control group when it contains at least 20 invoices over the rolling 90 days; otherwise your historical rate, measured at the audit over the 90 days before the connection and frozen for the duration of the contract;
  • failed_amount_reclaiva_group = total amount of the invoices of the Reclaiva group that failed during the month.

The increase is never negative: if the Reclaiva group performs worse than the reference, the increase of the month is zero and no commission is due. Each statement states which reference was used, control group or historical rate.

8. Monthly statement, review and disputes

  • On the first day of each month, Reclaiva produces a statement for the previous month, per currency: one line per invoice (failure date, amount, group, actions sent, payment date, status), the rates, the increase, the commission and any clawback.
  • You have 7 days to review it. During this period you may dispute an individual line, with a reason. Reclaiva answers each dispute; an accepted dispute removes the line from the computation. A statement is disputed line by line, never as a whole.
  • After the review period the statement becomes final and the commission is billed on your next subscription invoice.
  • Every line can be checked in your own Stripe account, since it is your own data. Statements can be exported as CSV.

9. Fees

Fees consist of a fixed monthly fee by tier and, where applicable, a commission on the increase of the month. They are set out below in CHF; prices in EUR and USD are those shown at checkout.

PlanMRR band (CHF)Fixed feeCommission on the increaseCap
Pilot (30 days)Everyone, onceNone20 %No cap
StarterUnder CHF 30KCHF 99 per monthNone—
GrowthCHF 30K to CHF 150KCHF 290 per month15 %2 × fixed fee (CHF 580)
ScaleCHF 150K to CHF 750KCHF 790 per month10 %2 × fixed fee (CHF 1'580)
EnterpriseAbove CHF 750KFrom CHF 2'500, annual contract5–8 %, negotiatedNegotiated
  • The tier follows your average MRR over the last three months, read in Stripe in read-only mode. Bands are in CHF; an MRR in another currency is converted at the rate of the day for the sole purpose of choosing the tier.
  • The fixed fee is the monthly minimum and is billed in advance each month.
  • The commission is the stated percentage of the increase of the month as defined in section 7, capped at the stated multiple of the fixed fee. It is billed in arrears on the subscription invoice that follows the final statement. When the statement currency differs from your billing currency, the commission is converted at the rate of the statement date, which is recorded on the statement.
  • Moving to a higher tier takes effect after 30 days' notice, by email and in the app. The tier never goes down during a month; if your MRR stays below the band for three consecutive months, the tier goes down the following month.
  • Enterprise is sold on quote with an annual contract.
  • Fees exclude VAT. Swiss VAT applies where the law requires it.

10. Pilot

  • Every Customer may run one pilot of 30 days, without card and without fixed fee. During the pilot the commission is 20 % of the increase, with no cap. It is billed once a payment method is on file.
  • On day 25, Reclaiva reminds you by email and asks for a payment method. On day 30, if a payment method is on file, you move to the tier that matches your MRR; otherwise sending stops and the account returns to preview mode. Nothing is charged without a payment method on file.
  • The increase measured during the pilot is billed under the pilot terms, even if the statement becomes final after the pilot ends.

11. Term and termination

  • Paid plans are monthly and renew automatically. You may cancel at any time from Billing; the cancellation takes effect at the end of the current month. Fees for the current month are not refunded.
  • Commissions on statements that became final before termination, and the clawbacks related to them, remain due or payable after termination.
  • Reclaiva may suspend or terminate the Service with immediate effect in case of non-payment after a reminder, breach of these Terms, or use that harms its email deliverability or its reputation.
  • On termination or disconnection, Reclaiva stops reading your Stripe account and deletes the data read from it, keeping only what Swiss law requires it to keep (statements and invoices).

12. Liability

  • Reclaiva provides the Service with care but does not guarantee that any invoice will be paid, nor any recovery rate or increase.
  • Reclaiva is liable only for damage caused intentionally or by gross negligence. In all other cases its liability is limited to the fees paid by the Customer during the twelve months preceding the event. Liability for indirect damage and lost profit is excluded to the extent permitted by Swiss law.
  • You hold Reclaiva harmless from claims by your end customers arising from emails you configured or approved.

13. Changes

Reclaiva may change these Terms with 30 days' notice by email. If you do not accept a change, you may terminate before it takes effect. Price changes are announced with the same notice.

14. Governing law and jurisdiction

These Terms are governed by Swiss law, to the exclusion of its conflict-of-laws rules and of the United Nations Convention on Contracts for the International Sale of Goods. The courts of Lausanne, Switzerland, have exclusive jurisdiction (to be confirmed at the legal review).
